XandY Design requires an agreement for any work to be undertaken. The agreement can be provided by mail, telephone, mail or fax. The work order is considered as complete only in a written format which includes email agreements and not the verbal communications. The client needs to be of 18 years of age or above.

XandY Design will not use or sell any of your (client) information to anyone for any commercial or personal purpose. Any details gathered from the website will only be used for our own contact purposes and upon permission from your end.

The usage of text, designs, graphics, photos, trademarks, or other artwork used in the client website, as provided by the client implies that the client has the permission to use these elements and will therefore protect and hold XandY Design non-responsible for any claim or suit arising from the use of these elements, by any third party.

Also, the client is restricted from selling or using the customized web program created by XandY Design for any other purpose without the permission from XandY Design. XandY Design reserves the right to use the work done for its own portfolio upon the client’s one-time approval.

The services rendered by XandY Design have to be used only for legal, lawful purposes. The website content, images, authoring and DB essentials have to be provided by the client (in specified file format) unless XandY Design is hired specifically for this purpose.

The website content has to be provided by the client within the timeline agreed upon during the course of the project agreement. Any content changes after the final submission will call to effect the extra charges as mentioned during project agreement.

XandY Design shall not hold the responsibility of errors in the web content or images provided by the client. The content, images and other inputs from the client have to come with clear instructions on where they have to be placed in the website and have to be copyrighted for usage.

Additional images, if provided by XandY Design will be charged separately.

At the time of website production if any extra request (inclusion or change) is made by the client that does not fit into the initial project agreement terms (website planning), the client will be immediately informed of the same. Based on this, the client will be separately billed for this change or inclusion either on hourly rates or package rates, as applicable.

Upon completion of the website design and development, the client is expected to check on the same and revert back to XandY Design with feedbacks, desired changes and unresolved issues if any within 5 working days through email. Any feedback or other changes communicated to XandY Design after the period of 5 working days will relieve the company (XandY Design) from being liable for any additional cost arising due to extended deadline.

As per the project agreement with XandY Design, the client agrees to the usage of their testimonial and copyright notice of the website in XandY Designs website entitled as their work.

The client shall not hold XandY Design responsible for any loss of business or business information caused by representation in the website hosted upon the client’s approval. A website is never hosted live without clients consent and hence the client is fully responsible for the work exhibited through the website.

XandY Design does not offer guarantee on the operation of the web pages being uninterrupted or error free in all conditions. The company does not warrant that the website operations will meet the client requirements completely. XandY Design will not be liable to any loss arising due to the non-functioning of the web pages or uninterrupted functioning of the website, even if the company has been advised of such possibilities in the past.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

XandY Design is not rendered liable for any information or opinion it offers. The client has to check further and look for outside information on any advice offered by XandY Design.

XandY Design does not provide Web Hosting & Domain Registration Services directly. However, the company gives details of renowned service providers. The client is expected to pay the domain registration and hosting charges in full, if XandY Design is expected to supply these services through its listed providers.

Should there be any issues related to the hosting or domain functioning, the client is expected to contact and sort it out with the service provider directly as XandY Design is not liable for these services. XandY Design can assist the client in terms of guidance and advice in getting the issues sorted with the service provider, but does not guarantee results as it is not the direct provider of these services.

Upon completion of the website the full payment balance is expected from the client as agreed upon in the initial agreement document. Should the client disagree to use the website after completion, they will still have to make the payment in full. Also, once the payment is made in full, the project is considered as complete and no refund will be provided on any grounds later, as it is believed that no website is fully completed without the client’s approval and satisfaction.

XandY Design offers a free update period of one month for clients. During this period any final amendments to the website can be made as required by the client (it has to be minor and has to comply with the change conditions mentioned).

Database, Application and E-Commerce developed using scripts or software written remains the copyright of XandY Design. The client will not be allowed to reproduce or sell the same without the permission of XandY Design.

XandY Design strives to ensure that the developments made are error free and accurate, however the company does not take responsibility for any losses incurred due to the usage of these developments/software by the client. The client is expected to constantly check on the functioning of software’s and programs developed, before putting the same to use. On the live website, if there are errors or issues arising, XandY Design will co-operate to have it fixed or sorted as per the functioning guidelines, but does not take complete responsibility in terms of timeline and assurance of fixing the same.

The terms and conditions quoted above could undergo changes depending upon the market & business scenario. The changes will be clearly mentioned here and the client is expected to check on the same before signing the business deal.
